Corporate Law

The Practice

M/s. RRN Legal advises companies on corporate compliance, governance and regulatory matters under the Companies Act 2013, from incorporation through to restructuring, winding up and insolvency. The firm designs compliance frameworks, prepares board and shareholder documentation, and advises directors and officers on their duties.

The firm represents companies before the Registrar of Companies and regulatory bodies, and acts in proceedings before the National Company Law Tribunal (NCLT), including matters relating to oppression and mismanagement, restructuring, winding up, and insolvency under the Insolvency and Bankruptcy Code 2016. Appeals lie to the National Company Law Appellate Tribunal (NCLAT).

Corporate work at the firm frequently intersects with its commercial, litigation and insolvency practice, allowing corporate disputes and transactions to be handled in a coordinated way by partners who understand both the documentation and the dispute.

Areas of Work

Incorporation & Structuring

The firm advises on the choice of entity and incorporates private limited companies, one-person companies and limited liability partnerships through the Ministry of Corporate Affairs portal. This covers name reservation, the Memorandum and Articles of Association, and the founders' or shareholders' arrangements that govern control and equity from the outset.

Regulatory Compliance & Secretarial

The firm supports companies with statutory registers and minute books, board and general meetings, annual returns and financial-statement filings with the Registrar of Companies, and event-based filings under the Companies Act 2013. Keeping these filings current avoids penalties and the risk of director disqualification.

Corporate Governance & Ethics Programmes

The firm designs governance frameworks, board charters, codes of conduct and ethics and policy programmes, and advises directors and officers on their duties and liabilities under the Companies Act 2013. The objective is a governance structure that is both compliant and workable for the company's size and stage.

Representation before Regulators / NCLT

The firm represents companies before the Registrar of Companies, regulatory authorities and the National Company Law Tribunal, including in matters of oppression and mismanagement, class and shareholder disputes, and compounding of offences under the Companies Act 2013, with appeals to the NCLAT.

Winding Up & Insolvency (IBC)

The firm advises on and acts in the winding up of companies and in insolvency proceedings under the Insolvency and Bankruptcy Code 2016, including the corporate insolvency resolution process and voluntary liquidation, before the NCLT. The firm also advises on the strike-off route under the Companies Act 2013 for dormant or non-operational companies.

M&A / Restructuring Support

The firm supports mergers, acquisitions, demergers and internal reorganisations, including schemes of arrangement under the Companies Act 2013 before the NCLT, due diligence, and the documentation that gives effect to a transaction, working with its commercial and conveyancing teams on the underlying assets and contracts.
